Agreement to these terms
By creating an account, subscribing to a plan, accessing the service, or using Simple Invoice Generator on behalf of an organization, you agree to these terms and represent that you have authority to bind that organization.
If you do not agree to these terms, you must not access or use the service. Additional written terms signed by Hyperscalr LLC and your organization control only where they expressly conflict with these terms.
Service description
Simple Invoice Generator helps businesses create, finalize, send, download, and track invoices. The service is an invoice-management and document generation tool; it is not a payment processor, money transmitter, tax advisor, accounting firm, law firm, or collection agency.
Your invoice recipients pay you through payment arrangements you choose outside Simple Invoice Generator. You are responsible for confirming payments, marking invoice status accurately, and complying with tax, accounting, recordkeeping, and business laws that apply to your invoices.
Subscriptions, fees, renewals, and cancellation
Hyperscalr LLC charges subscription fees for access to Simple Invoice Generator. Plan names, prices, included limits, metered usage charges, renewal periods, taxes, and cancellation options are disclosed during checkout and in account billing tools before you authorize a charge.
Paid subscriptions renew until canceled unless the checkout flow or an order form says otherwise. You authorize Hyperscalr LLC and its billing provider to charge the payment method associated with your account for recurring subscription fees, applicable taxes, usage charges, failed-payment recovery, and authorized plan changes.
Hyperscalr LLC may change prices, plan names, included limits, metered usage rates, available features, billing intervals, taxes, discounts, credits, and billing terms from time to time. Changes apply prospectively to new purchases, plan changes, renewals, or future billing periods, and do not retroactively reprice a paid subscription period unless you authorize a plan change, usage charge, or other billing action.
You may cancel or change eligible plans from the billing tools made available in your account. Cancellation stops future renewal charges unless the product screen, checkout flow, or written order says a different effective date applies.
- Fees are non-refundable except where required by law or expressly stated in a written refund policy or order form.
- Taxes, charge failures, credits, refunds, and payment-method updates may be handled through the billing provider used for your subscription.
- For existing automatic-renewal subscriptions, Hyperscalr LLC will provide fee-change notices, renewal reminders, cancellation instructions, or other billing notices when required by applicable law, provider rules, or checkout disclosures.
- If a payment fails or a plan limit is exceeded, Hyperscalr LLC may suspend or limit access to paid features until the issue is resolved.
Refunds, returns, and billing disputes
Simple Invoice Generator is a digital subscription service, so there are no physical returns, exchanges, or shipped goods. Subscription fees and usage charges are non-refundable except where required by law, stated in a written order form, or approved by Hyperscalr LLC.
Billing questions, refund requests, and cancellation disputes should be sent to [email protected]. Include the organization name, account email, billing date, and a short explanation so support can review the request.
- Approved refunds may be issued through the billing provider and can take additional time to appear on a payment method statement.
- Access to paid features may continue through the current paid period unless the cancellation or refund confirmation says otherwise.
- This policy does not limit non-waivable consumer rights that apply by law.
Checkout and billing consent
Provider-hosted checkout, payment, and customer portal screens may display support contact information, legal policy links, refund policy details, subscription terms, payment-method reuse notices, and a checkbox or other confirmation that records acceptance of these terms.
When those screens ask you to accept legal terms before paying or saving a payment method, completing the checkout or billing action confirms your acceptance of the linked terms and policies.
- You are responsible for reviewing the terms, renewal cadence, plan limits, usage charges, refund policy, and cancellation method before authorizing a payment.
- If provider-hosted text differs from these terms, the more specific checkout or order-form disclosure controls that billing action.
Customer content and invoice data
You retain ownership of the information, files, logos, invoice content, customer records, business profiles, payment terms, notes, email templates, and other materials you submit to Simple Invoice Generator (collectively, Customer Content).
You grant Hyperscalr LLC a non-exclusive, worldwide license to host, copy, process, transmit, display, format, and create invoice PDFs or emails from Customer Content only as needed to provide, secure, support, and improve the service and comply with law.
You represent that you have the rights and notices required to upload, process, email, and store Customer Content, including personal information about invoice recipients and your customers.
- Do not submit unlawful, infringing, deceptive, harmful, or malicious content.
- Do not use Simple Invoice Generator to send spam, phishing, malware, harassment, or invoice demands unrelated to a legitimate business relationship.
- Do not submit sensitive personal information unless it is necessary for your invoice workflow and you have authority to process it.
Acceptable use
You may use Simple Invoice Generator only for lawful business purposes and in a manner that does not harm Hyperscalr LLC, the service, other users, invoice recipients, or third-party providers.
- Do not probe, scan, disrupt, overload, reverse engineer, bypass limits, or attempt unauthorized access to the service.
- Do not interfere with security, authentication, rate limits, metering, billing, or usage enforcement.
- Do not use the service to violate sanctions, export controls, privacy laws, intellectual property rights, consumer protection laws, or anti-spam rules.
- Do not resell, sublicense, or provide bureau-style access to the service unless Hyperscalr LLC has agreed in writing.
Intellectual property and feedback
Hyperscalr LLC and its licensors retain all rights in the service, software, designs, workflows, documentation, trademarks, and other materials not included in your Customer Content. These terms do not transfer any ownership rights to you.
If you provide feedback or suggestions, you grant Hyperscalr LLC permission to use them without restriction or compensation.
Privacy and service providers
The Privacy Policy explains how Hyperscalr LLC collects, uses, shares, and retains personal information for Simple Invoice Generator. By using the service, you acknowledge that Hyperscalr LLC may process account, organization, billing, invoice, customer, log, and support information as described there.
Simple Invoice Generator uses third-party service providers for functions such as hosting, storage, backup, billing, email delivery, security, and error logging. Those providers may process information only as needed to support the service or as required by law.
Security and availability
Hyperscalr LLC uses administrative, technical, and organizational safeguards designed to protect the service. You are responsible for using the security controls available to you, maintaining accurate administrator access, and exporting or retaining records needed for your business.
The service may be unavailable during maintenance, upgrades, provider interruptions, emergencies, security incidents, or events outside Hyperscalr LLC's reasonable control.
Suspension and termination
Hyperscalr LLC may suspend or terminate access if you violate these terms, create risk for the service or other users, fail to pay amounts when due, exceed plan limits, or use the service unlawfully.
After cancellation or termination, access to the service and Customer Content may be limited or deleted according to the product's retention settings, legal obligations, backup cycles, and account-status rules.
Disclaimers
Simple Invoice Generator is provided on an 'as is' and 'as available' basis. To the fullest extent permitted by law, Hyperscalr LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Hyperscalr LLC does not warrant that the service will be uninterrupted, error-free, secure against every threat, or suitable for your legal, tax, accounting, collection, or compliance obligations.
Limitation of liability
To the fullest extent permitted by law, Hyperscalr LLC will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for lost revenue, lost data, business interruption, or substitute services, even if Hyperscalr LLC has been advised of the possibility of those damages.
To the fullest extent permitted by law, Hyperscalr LLC's total liability for claims arising from or related to the service or these terms is limited to the amounts your organization paid to Hyperscalr LLC for Simple Invoice Generator during the three months before the event giving rise to the claim, or one hundred U.S. dollars if no paid subscription fees were paid during that period.
Indemnification
You will defend, indemnify, and hold harmless Hyperscalr LLC from claims, damages, liabilities, costs, and expenses arising from your Customer Content, your use of the service, your invoice or customer relationships, your violation of these terms, or your violation of law or third-party rights.
Changes to the service or terms
Hyperscalr LLC may update, improve, suspend, or discontinue parts of the service at any time. Hyperscalr LLC may also update these terms by posting an updated version, and may do so without separate notice unless additional notice is required by applicable law or stated in a checkout, order form, or billing disclosure.
Updated terms become effective when posted unless the update states a later date. For material changes, Hyperscalr LLC may provide additional notice by email, in-product notice, checkout notice, account billing notice, or another reasonable method.
Continued access or use after the effective date means you accept the updated terms. If you do not agree to an update, you must stop using the service and cancel any paid subscription before the next renewal.
Governing law and disputes
Unless a signed order form states otherwise or applicable law requires a different rule, these terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The state and federal courts located in Florida will have jurisdiction over disputes arising from or related to these terms or the service.
Before filing a claim, you agree to contact Hyperscalr LLC and try to resolve the dispute informally.
